Three things differ from the picture earlier this year. The deal came in smaller than the roughly ₹37,500–37,700 crore that was widely expected.⁹⁴ It was a pure fresh issue, with no selling by Google, Meta or other early investors.⁶ And the timing, which one report in April said could slip to the second half of FY27, landed in October instead.⁹
What has changed, newest first
The table tracks each milestone against what was expected before it.
| Date | What happened | What changed |
|---|---|---|
| 4 Nov 2026 | Closed at ₹1,421.70; 52-week high is ₹1,489.70⁸⁷ | About 27% above the ₹1,119 issue price (my calculation) |
| 28 Oct | Listed at ₹1,358, up 21.4%;² Nomura initiated at buy with a ₹1,340 target¹ | The stock now trades above that target |
| 21–26 Oct | Issue open 21–23 Oct, fully subscribed within 95 minutes of opening and about 22x overall; allotment on 26 Oct¹² | Demand far exceeded the shares on offer |
| 19 Oct | Anchor book of ₹8,109.85 crore from 212 institutions at ₹1,119;² BlackRock, Capital Group and GIC took part¹ | Priced at the top of the band |
| 14 Oct | Red herring prospectus filed; price band ₹1,065–1,119, lot of 12 shares⁵³ | First hard price after months of rumoured bands |
| 28 Aug | SEBI issued observations on the draft prospectus⁴ | Regulatory clearance in about ten weeks |
| 19 Jun | Draft prospectus filed: fresh issue of up to 27 crore shares, no offer for sale⁴ | Structure fixed as primary capital, not a stake sale |
| 29 Apr | CreditSights said the IPO could slip to the second half of FY27 on West Asia tensions⁹ | Timeline risk, later reversed |
| 14 Jan | Reuters reported Reliance was weighing a float of about 2.5%, which could raise over $4 billion¹³ | Original concept; structure was then unclear |
Size, valuation and structure
The issue was 27 crore new shares of ₹10 face value, about 2.93% of the 920.90 crore shares outstanding after listing.¹⁴ Every ₹100 on the price moved the amount raised by ₹2,700 crore, and at ₹1,119 the raise was ₹30,213 crore, or about $3.2 billion.¹⁴¹
All the money goes to the company, not to selling shareholders. The prospectus earmarks it for prepaying borrowings of Reliance Jio Infocomm and for general corporate purposes,⁵ and the early investors that hold about 33% between them, including Google, Meta and KKR, did not sell.⁶ Reliance, which held more than 66% before the issue, stays the promoter and majority owner.¹⁵
The balance sheet backs the debt-reduction pitch. Jio reported FY26 revenue from operations of ₹1,46,885 crore and EBITDA of ₹76,255 crore, and its net leverage fell from 0.88x in FY24 to 0.36x in FY26.⁶ Net profit was ₹30,049 crore at a 51.9% EBITDA margin.¹⁵
The valuation is where expectations moved most. Bankers had floated figures as high as $170–180 billion ahead of the IPO.¹³ By my arithmetic, 920.90 crore shares at the ₹1,119 issue price implies about ₹10.3 lakh crore, or roughly $109 billion at the current rupee rate of about 94.6 per dollar. At the 4 November close of ₹1,421.70 the same share count gives about ₹13.1 lakh crore. Data providers show slightly different market capitalisations, so treat the exact figure as approximate.
Governance & policy: the rule change that made a 2.9% float possible
A smaller issue was only possible because of rule changes. SEBI proposed in August 2025 to lower the minimum public offer for companies worth more than ₹5 trillion and to give them up to 10 years, instead of five, to reach 25% public shareholding.¹¹ The Centre then eased the public-float rules this year, paving the way for Jio and the National Stock Exchange.¹² Under the tiers below, a company above ₹5 lakh crore must offer shares worth ₹15,000 crore and at least 1% of each class,¹² with an overriding floor of 2.5% of the class.¹⁰
| Post-issue market capitalisation | Minimum public offer |
|---|---|
| Above ₹5 lakh crore | ₹15,000 crore and at least 1% of each class (floor of 2.5% of the class)¹²¹⁰ |
| ₹1 lakh crore to ₹5 lakh crore | ₹6,250 crore and at least 2.75% of each class¹² |
| ₹50,000 crore to ₹1 lakh crore | ₹1,000 crore and at least 8% of each class¹² |
The float obligation is deferred, not removed. A large issuer that lists with less than 15% public shareholding must reach 15% within five years and 25% within ten.¹⁰ With only about 2.9% sold in the IPO,¹⁴ large blocks of Jio shares will need to reach the market over the coming decade. That is my reading of the rules rather than a stated plan, and the sources do not say who will sell.
The approval path was routine. The draft prospectus went in on 19 June, SEBI issued its observations on 28 August, and the final prospectus followed on 14 October.⁴⁵ SEBI's rules give an issuer 12 months from its observation letter to open the issue, so the October launch used a fraction of that window.¹⁴
Retail access. The minimum bid was one lot of 12 shares, or ₹13,428 at the top of the band,³ and individuals who held Reliance Industries shares on the filing date could apply in a separate shareholder category.⁶
Market backdrop: absorbing the issue in a choppy month
Jio raised its money in a month when foreign investors were net sellers. Foreign portfolio investors pulled ₹34,843 crore out of Indian equities in October and have bought ₹14,863 crore so far in November, according to NSDL data cited by Business Today.¹⁸ Global funds still joined the anchor book,¹ though the sources do not say how much of the final allotment went to foreign buyers.
The latest price I have is the 4 November close, which predates this week's rally. After the US midterm results, the Sensex opened 2.08% higher on 5 November at 78,910.94,¹⁶ and the rupee closed at 94.64 per dollar, its fourth straight gain.¹⁷ CareEdge rates the effect on rupee and foreign-flow conditions as mildly positive, while warning that crude and the US White House still drive the larger risks.¹⁹ A steadier backdrop helps a newly listed, richly valued stock, but it does not change Jio's own numbers.
What to watch next
- 24 November 2026: the lock-in on 50% of the anchor shares ends, which can add supply to the market.⁶
- 23 January 2027: the lock-in on the remaining anchor shares ends.⁶
- First results as a listed company: the sources I found do not confirm a date, so check Jio's exchange filings.
- Analyst targets versus price: Nomura's ₹1,340 target sits below the ₹1,421.70 close, so watch whether other brokers raise targets or turn cautious.¹⁸
- Public float: the path from about 2.9% sold to 15% within five years and 25% within ten, and who supplies the shares.¹⁰
- Macro: foreign flows and the rupee after the US midterms, and crude prices tied to West Asia.¹⁹

How we reported this
Issue terms, dates and prices come from IPO-tracking sites and news reports, not from the prospectus itself, and several pages were read as search excerpts rather than opened in full. Where sources disagree, such as subscription multiples (about 21–22x) and market capitalisation, the text says so or rounds. Share prices and market values are as of the 4 November close and will have changed. Items marked as my calculation are arithmetic on the cited figures, not sourced numbers.
